Terms of Service

1. Acceptance of Terms
Agreement
By creating an account, accessing, or using ConnectXeo (the "Service"), operated by BotLab ("we", "us", "our"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
Age Requirement
You must be at least 18 years of age to use ConnectXeo. By using the Service, you represent that you meet this requirement.
Modifications
We reserve the right to modify these Terms at any time. We will notify you of material changes via email or in-app notice at least 14 days before they take effect. Continued use after changes constitutes acceptance.
2. Accounts & Workspaces
Account Responsibility
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. Notify us immediately at security@connectxeo.com if you suspect unauthorized access.
Workspace Members
You may invite other users to your workspace and assign them roles (owner, admin, member, viewer). You are responsible for all actions taken by members you invite. Role-based access controls are your responsibility to configure appropriately.
Accurate Information
You agree to provide accurate, current, and complete information when creating your account, and to keep this information updated.
3. Acceptable Use
Permitted Use
ConnectXeo is licensed to you for lawful business and personal use — including building, testing, and deploying AI agents across authorized channels. You may use the Service only in accordance with these Terms and applicable law.
Prohibited Activities
You must not use ConnectXeo to: (a) violate any applicable law or regulation; (b) transmit spam or unsolicited messages; (c) engage in deceptive, abusive, or fraudulent conduct; (d) distribute malware or harmful code; (e) scrape or harvest data without authorization; (f) circumvent rate limits or abuse the API; (g) build agents that impersonate public figures, spread disinformation, or facilitate illegal activity.
AI Content Responsibility
You are solely responsible for the behavior, outputs, and deployment of agents you create. ConnectXeo provides the infrastructure — you are the operator. Ensure your agents comply with applicable laws, including consumer protection, data protection, and AI-specific regulations in your jurisdiction.
Third-Party Integrations
When connecting third-party services (Shopify, Slack, Telegram, WhatsApp, etc.), you must comply with those platforms' terms of service and developer policies. ConnectXeo is not liable for actions taken by your agents on third-party platforms.
4. Subscriptions & Billing
Subscription Plans
ConnectXeo offers subscription plans with varying feature sets, agent limits, and credit allocations. Plan details are described on our Pricing page and may change with notice.
Payment Processing
All payments are processed by Paddle, our Merchant of Record. Paddle handles billing, tax compliance, and invoicing. By subscribing, you agree to Paddle's terms and privacy policy in addition to ours.
Automatic Renewal
Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. Cancellation stops future charges but does not issue refunds for the current period (see our Refund Policy).
Credit Usage
Platform-managed API usage (where ConnectXeo provides the AI API key) is measured in credits based on token consumption, with pricing visible in your dashboard. Unused credits do not roll over between billing periods unless stated otherwise.
Plan Limits
Each plan enforces limits on agents, deployments, API calls, and credit consumption. Exceeding plan limits may result in service throttling. Upgrade your plan to increase limits.
Price Changes
We may change subscription prices with 30 days' notice. Price changes take effect at the next renewal date after notice is given.
5. Data Ownership & License
Your Content
You retain all ownership of data you upload, configurations you create, and content generated by your agents. ConnectXeo does not claim ownership of your intellectual property.
License to BotLab
You grant BotLab a limited, non-exclusive license to process, store, and transmit your data solely to provide the Service. This license ends when you delete the relevant data or terminate your account.
Aggregated Data
BotLab may use aggregated, anonymized usage statistics (e.g. platform-wide latency metrics, feature adoption rates) to improve the Service and publish insights. This data cannot be used to identify you.
6. Intellectual Property
BotLab's IP
The ConnectXeo platform, including its software, design, trademarks, and documentation, is owned by BotLab and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works of our IP without written permission.
Feedback
If you submit suggestions, ideas, or feedback about the Service, you grant BotLab an irrevocable, royalty-free license to use that feedback without compensation or attribution to you.
7. Confidentiality
Mutual Confidentiality
Each party agrees to keep the other party's non-public business information confidential and not disclose it to third parties without consent, except as required by law or to fulfill obligations under these Terms.
8. Disclaimers & Limitation of Liability
As-Is Service
ConnectXeo is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
AI Output Disclaimer
AI-generated content may be inaccurate, incomplete, or inappropriate. BotLab makes no guarantees about the accuracy or reliability of outputs generated by AI models. You are responsible for reviewing and validating agent outputs before acting on them.
Limitation of Liability
To the maximum extent permitted by law, BotLab's total liability for any claim arising from these Terms or the Service shall not exceed the amount you paid to BotLab in the 12 months preceding the claim. We are not liable for indirect, incidental, special, or consequential damages.
9. Termination
By You
You may cancel your account at any time from your account settings. Cancellation ends your subscription at the close of the current billing period.
By BotLab
We may suspend or terminate your access immediately, without prior notice, if you violate these Terms, engage in fraud, abuse the platform, or if required by law. We will make reasonable efforts to notify you unless disclosure is legally prohibited.
Effect of Termination
Upon termination, your right to use the Service ceases immediately. We will delete your data in accordance with our Privacy Policy. Provisions that by their nature should survive termination will survive, including ownership clauses, disclaimers, and limitations of liability.
10. Governing Law & Disputes
Governing Law
These Terms are governed by the laws of the jurisdiction in which BotLab is incorporated, without regard to conflict-of-law principles.
Dispute Resolution
We encourage you to contact us first at legal@connectxeo.com to resolve disputes informally. If a dispute cannot be resolved informally within 30 days, it shall be resolved by binding arbitration, except that either party may seek injunctive relief in a court of competent jurisdiction for IP infringement or breach of confidentiality.
Class Action Waiver
You agree to resolve disputes with BotLab on an individual basis and waive the right to participate in a class action lawsuit or class-wide arbitration.
